Terms of Service
The terms under which Complycheck is provided to your organisation.

1. Acceptance
These Terms of Service (“Terms”) form a binding agreement between TODO: legal entity name (“Complycheck”, “we”) and the organisation that creates a Complycheck tenant (“Customer”, “you”). By creating or using a tenant you accept these Terms on behalf of your organisation.
2. The service
Complycheck provides a multi-tenant compliance platform — including tenant-isolated data storage, user and role management, audit logging, and integrations described in our documentation. Specific features may vary by subscription plan and are described in the applicable order form.
3. Tenant data ownership
Customer data is and remains the property of the Customer. Complycheck claims no ownership of any data, content, configuration, or evidence that Customer or its users upload to or generate within the Customer's tenant (“Customer Data”).
Complycheck processes Customer Data only as required to provide the service to Customer, under Customer's instructions, and in accordance with the Data Processing Agreement (which forms part of these Terms when Customer Data includes personal data).
On termination, Customer may export its Customer Data; Complycheck will delete remaining copies within the period stated in the DPA.
4. Account and user responsibilities
- Customer designates one or more Tenant Administrators who are responsible for inviting, disabling, and assigning roles to users within the tenant.
- Customer is responsible for the actions of users it grants access to, for maintaining the confidentiality of credentials, and for configuring the tenant in line with its own regulatory obligations.
- Customer represents that each user is authorised to act on Customer's behalf and that each user uses a corporate email address — the platform enforces this technically.
5. Acceptable use
You agree not to use Complycheck to:
- Violate applicable law, including data protection law;
- Probe, scan, or otherwise attempt to find vulnerabilities except through our responsible disclosure process;
- Send unsolicited communications, malware, or content that infringes third-party rights;
- Resell or sublicense access without our written agreement;
- Interfere with other tenants' use of the service.
6. Fees and payment
Fees, billing frequency, and applicable taxes are set out in the order form or online plan description. Unpaid invoices that remain overdue for more than TODO: e.g. 30 days may, after notice, result in account suspension.
7. Term and termination
These Terms apply for the duration of any active tenant. Either party may terminate for material breach unremedied after TODO: e.g. 30 days written notice. Complycheck may suspend or terminate immediately in response to a security incident, court order, or violation of Section 5.
Complycheck schedules tenant deletion with a 30-day grace window during which Customer Data is preserved and can be restored on Customer request before being permanently removed.
8. Warranties and disclaimers
We provide the service with reasonable care and skill. Except as expressly stated, the service is provided “as is” without further warranties. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
9. Limitation of liability
Subject to Section 8, each party's aggregate liability arising under or in connection with these Terms is limited to TODO: e.g. fees paid in the 12 months preceding the claim. Neither party is liable for indirect or consequential loss, loss of profit, or loss of goodwill.
10. Indemnification
Each party will defend and indemnify the other against third-party claims arising from its breach of these Terms or its violation of applicable law, subject to prompt notice and reasonable cooperation.
11. Confidentiality
Each party will protect the other's confidential information with at least the same care it uses for its own, and use it only to perform these Terms.
12. Governing law and disputes
These Terms are governed by the laws of the Republic of Cyprus, excluding conflict-of-law rules. The courts of Cyprus have exclusive jurisdiction, except that either party may seek interim relief in any court of competent jurisdiction.
13. Changes
We may update these Terms by giving reasonable notice. If a change materially reduces Customer's rights, Customer may terminate without penalty within TODO: e.g. 30 days of the change taking effect.
